UCLA Alumnus and Cooley LLP partner, Danielle Naftulin, provided students with detailed insights into venture capital financing and preferred stock agreements. Ms. Naftulin explained the function of each section of a preferred stock agreement.  In addition, she explained each party’s position on controversial provisions and the rationale behind those positions.  Students received a strong foundation for approaching a venture capital financing transaction.    

UCLA School of Law Professor James Park and Eric Waxman, a partner at Skadden Arps, engaged in a lively debate over the implications of Haliburton v. Erica P. John Fund. The debate was moderated by LMI Executive Director, Joel Feuer.          

Alex Beroukhim, a partner at Arnold and Porter, and Kristen Johns, a new associate, reviewed the California Unfair Competition Law. This statutory provision provides a right to sue and is a claim brought in a large number of business litigation cases.  They explained the plain text of the statute, its interpretation and uses in California litigation, and reviewed recent case law.      

Dan Clivner, a partner at Simpson Thacher, brought with him seasoned attorneys to educate students about loan, credit and debt agreements and their use in the context of a private equity transaction.
