Business Law Cocktail Hour – Corporate Ordering: How Companies Write the First Draft of the Law

Speaker: Stavros Gadinis, UC Berkeley Law

When a police department asked Microsoft for real-time facial recognition on body cameras, no law told the company what to do. Its internal review process, built years before any AI statute existed, said no, and the escalation path that produced that answer now looks a lot like what the EU AI Act requires. Drawing on conversations with the general counsel and governance teams at Microsoft, OpenAI, Google DeepMind, Uber, Lyft and Salesforce, this talk shows how companies facing questions with no settled law, from AI to platform safety to carbon accounting, have built governance processes that regulators later adopt as the template. It offers counsel a practical framework for deciding when a decision calls for consultation, when it calls for disclosure and when it calls for independent review, and it explains why building that record before the rule arrives is the best protection once it does.
