Members of the Shareholder Director Exchange’s (“SDX”), James Woolery and Christopher Cox, discussed SDX’s work and the prospects for more productive shareholder director interaction in the age of shareholder activism. Mr. Woolery is the Deputy Chairman of Cadwalader, Wickersham & Taft LLP and Co-Chair of its Corporate Department.   Mr. Cox is Co-Chair of Cadwalader’s Corporate Group.  As members of SDX they played an instrumental role in developing the SDK Protocol – a set of guidelines providing a framework for shareholder-director engagements.  Mr. Woolery and Mr. Cox discussed their experience with shareholder engagement and the SDX Protocol.
